Terms & Conditions – Training Course Bookings
These terms apply to training courses delivered by Integral Workplace Wellness Ltd (“IWW”, “we”, “us”) to business clients (“you”, “your”).

Bookings & attendee numbers1.1 How to book. Bookings may be made by email or via our online booking form. When we confirm the date(s) in writing (including email) your booking is accepted and these Terms apply.1.2 Minimum/maximums. Courses are subject to the minimum and maximum attendee numbers below. If fewer than the minimum attend, we may still run the course but fees remain payable for the minimum.

Fees & payment2.1 Fees & VAT. Fees are as quoted (exclusive of VAT unless stated).2.2 Invoicing. We will invoice on booking/confirmation (or as otherwise agreed).2.3 Payment terms. Due 5 days before the course start date, by BACS (unless agreed otherwise). Certificates (Section 6) are issued only after full payment.2.4 Late payment. We may charge interest and fixed-sum compensation under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend services until cleared funds are received.

Cancellations & rescheduling (course date)If you cancel or request to move the course date:
- >28 days before start: no charge (we’ll reschedule subject to availability)
- 14–28 days: 50% of the course fee
- <14 days: 100% of the course fee
Cancellations/reschedule requests must be made by email. A confirmed reschedule replaces the original date; further changes may incur fees. -
Individual cancellations / no-shows4.1 Re-booking individuals. An attendee may move to another scheduled course with ≥7 days’ notice at no charge.4.2 <7 days’ notice or no-show: the full seat fee is chargeable and a new booking is required.

Late arrivals & missed sessionsTo meet qualification/assessment standards, attendance at all sessions is mandatory. We may refuse late arrivals or those who miss sessions if we reasonably believe they cannot achieve the required learning outcomes. Fees remain payable.

CertificationDigital certificates are issued on successful completion of the training/assessment and after full settlement of fees. Printed certificates can be provided by prior agreement and may incur an additional charge.

Changes by IWW (trainer illness / force majeure)On rare occasions we may need to reschedule due to trainer illness or events beyond our reasonable control (e.g., power/network failure, transport disruption, extreme weather). We will give as much notice as possible and offer a free transfer to a new date. If rescheduling is not possible, we will refund fees paid for the affected course date. This is our sole liability for such changes.

Delivery requirements (online & in-person)8.1 Online. You are responsible for ensuring attendees have suitable device, audio, camera and internet. Platform joining links are for registered attendees only and must not be shared.8.2 In-person. You will provide a safe, suitable venue (including accessibility), and inform us of any on-site requirements. We may refuse to proceed if conditions are unsafe; fees remain payable.

Learning materials, recording & IPAll course content and materials remain the intellectual property of IWW or our licensors. We grant you a non-exclusive, non-transferable licence to use materials internally for attendees who completed the course. You must not copy, adapt, distribute, or publish materials, nor record sessions (audio/video/chat) without our prior written consent.

Data protection (UK GDPR)Each party acts as an independent controller for personal data it processes in connection with the booking and delivery of training. You may provide attendee details (e.g., name, work email, role) so we can set up, deliver, and administer the course (including confirmations, reminders and certificates). Privacy Policy. If an attendee shares health/access needs for reasonable adjustments, we will use that information only for that purpose and, where required, on the basis of explicit consent.

LiabilityNothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law. Subject to the foregoing, our total liability arising out of or in connection with the course shall not exceed the fees paid or payable for the affected course date, and we are not liable for indirect or consequential loss (including loss of profit, revenue, or business), to the extent permitted by law.

Governing law & jurisdictionThese Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Changes to these TermsWe may update these Terms for legal or operational reasons. The latest version will be available on our website and will apply to new bookings from its effective date.
